These Terms of Service govern your use of the website operated by Angela VanWagenen LLC and the communications that proceed from it. They describe what you may expect from us and what we expect from you when you browse these pages, submit an inquiry or engage the studio for professional services.
Angela VanWagenen LLC is a computer integrated systems design consultancy with its studio at 2216 S 2940 W, Syracuse - 84075-7016, United States (US). By using this website you accept these terms in full. If you do not accept them, please discontinue use of the site.
These terms apply to the website as a general publication. A specific client engagement is governed by a separate written agreement, and where that agreement conflicts with these terms, the written agreement controls for that engagement.
Acceptance of These Terms
By accessing this website, reading its pages or submitting information through it, you confirm that you have read, understood and agreed to be bound by these Terms of Service. If you use the site on behalf of an organization, you represent that you have authority to bind that organization to these terms, and references to you include that organization.
We may require you to agree to additional terms before we begin a professional services engagement. Those additional terms are supplied in writing and form part of the agreement for the engagement. Nothing on this website should be read as an offer capable of acceptance to perform a specific service; a binding commitment arises only when both the client and Angela VanWagenen LLC sign a written agreement or exchange written confirmation of scope.

The Company grants you a limited, revocable, non-exclusive and non-transferable right to access and read the Site for lawful purposes connected with evaluating, purchasing or supporting the Services. You may print or save a copy of individual pages for your own reference, provided that you do not remove any copyright or proprietary notice.

- Remove, obscure or alter any copyright, trademark or other proprietary notice on the Site.
- Use the Site in a manner that violates any applicable law or the rights of any third party.
The Company reserves the right to pursue any remedy available at law or in equity for a breach of this section, including blocking access and reporting conduct to the relevant authorities.
Intellectual Property
All Content on the Site, including the design, layout, wording, code and the distinctive visual presentation of the pages, is owned by or licensed to Angela VanWagenen LLC and is protected by copyright, trademark and other intellectual property laws. The name Angela VanWagenen LLC and any associated marks may not be used without written permission.
The permission to read the Site does not transfer any ownership of intellectual property. No license, express or implied, is granted other than the limited right of access described in these terms. All rights not expressly granted are reserved by the Company.
Client project deliverables such as drawings, tag lists, procedures and training materials are governed by the intellectual property clauses in the relevant client agreement, which may provide for assignment or licensing to the client on stated conditions.
Your Submissions and Inquiries
When you submit an inquiry through the contact form or by email, you confirm that the information you provide is accurate to the best of your knowledge and that you have the right to share it. You are responsible for ensuring that your submission does not infringe the rights of any third party and does not contain confidential information that you are not permitted to disclose.
We treat the content of your inquiry as business correspondence and handle it in line with our Privacy Policy. An inquiry does not, by itself, create a client relationship or obligate the Company to perform Services. A relationship arises only under a signed agreement or written confirmation of scope.
You retain ownership of the information you send to us. By sending it, you grant the Company permission to use it for the purpose of responding to you and, if an engagement proceeds, for delivering the Services.
Professional Services Engagements
The Services are professional engineering and design services delivered under a written agreement that sets out scope, schedule, deliverables, assumptions and responsibilities. This section provides a general summary; the written agreement always prevails.
An engagement typically begins with a console walk and a findings brief, followed by agreement on scope and a schedule that respects production. Work proceeds through architecture, control room, pipeline and field phases, and concludes with training and handover. Changes to scope are documented before the additional work begins.
The Company may use qualified subcontractors or specialist advisers where the engagement benefits from additional expertise. The Company remains responsible for the quality of the work it delivers and for the coordination of any subcontractor it introduces.
Fees, Estimates and Invoicing
Fees for Services are set out in the written agreement or in a written quotation. Any estimate we provide is based on the information available at the time and may be adjusted if the scope, site conditions or schedule change materially. We will discuss a change with the client before additional charges are incurred.
Unless the agreement states otherwise, invoices are issued according to the agreed schedule and are payable within the period stated on the invoice. Amounts that remain unpaid beyond the stated period may attract a late charge to the extent permitted by law, and the Company may suspend work on an account that is seriously overdue after giving notice.
Fees are exclusive of applicable taxes unless expressly stated. The client is responsible for any taxes, duties or levies that apply to the Services in the client jurisdiction.
Client Obligations
A successful integrated systems engagement depends on timely cooperation from the client. The client agrees to provide accurate site information, reasonable access to facilities and personnel, and prompt decisions on matters that affect the schedule.
The client is responsible for maintaining appropriate backups of its own data, for ensuring that its systems meet the prerequisites stated in the agreement, and for obtaining any internal approvals needed for the work. The Company is not responsible for delays or defects that arise from incomplete information, withheld access or changes made by the client after a deliverable is accepted.
Where the work involves live plant systems, the client retains responsibility for site safety rules and for the authority to operate or isolate equipment. The Company follows reasonable client safety procedures and expects those procedures to be communicated before field work begins.
No Guarantee of Results
The Site describes professional services and general approaches. It does not promise a particular outcome, a specific financial result or an uninterrupted operational record. Integrated systems work necessarily involves existing equipment, third party software and changing site conditions, and results depend on factors outside the control of the Company.
Any example, illustration or description of a typical engagement on the Site is provided for explanation and does not create a warranty that a similar result will be achieved for a particular client. Specific performance commitments, where they are agreed, are documented in writing for that engagement.
Third Party Materials and Links
The Site may refer to third party products, standards or websites. Such references are provided for convenience and information. Angela VanWagenen LLC does not control third party materials and does not warrant their accuracy, availability or fitness for a particular purpose.
A link to a third party site does not imply endorsement. When you leave our Site, the terms and privacy practices of the destination govern your use of that destination, and the Company is not responsible for any loss or damage that arises from your use of a third party site.
Disclaimer of Warranties
The Site and its Content are provided on an as available basis. To the fullest extent permitted by law, the Company disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
The Company does not warrant that the Site will be uninterrupted, error free or free of harmful components, or that defects will be corrected. You use the Site at your own risk. Nothing in these terms excludes a warranty that cannot lawfully be excluded, and where such a warranty applies, the Company limits its obligation to the remedies permitted by law.
Limitation of Liability
To the fullest extent permitted by law, Angela VanWagenen LLC is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profits, lost data, business interruption or loss of goodwill, arising out of or relating to your use of the Site or these terms, even if the Company has been advised of the possibility of such damages.
The total liability of the Company for all claims relating to the Site is limited to one hundred United States dollars. Liability relating to a professional services engagement is governed by the limitations stated in the applicable written agreement, which may set a different cap.
Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, the limitations in this section apply to the greatest extent permitted, and nothing in these terms limits liability that cannot lawfully be limited.
Indemnification
You agree to indemnify and hold harmless Angela VanWagenen LLC and its personnel from any claim, loss, liability, cost or expense, including reasonable legal fees, that arises from your breach of these terms, your misuse of the Site or your violation of the rights of a third party.
This obligation survives the end of your use of the Site. The Company reserves the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate reasonably with the defense.
Confidentiality
Information that a client shares with the Company in the course of an engagement may be confidential and is handled under the confidentiality provisions of the relevant agreement. The Company treats non-public business and technical information with care and limits access to personnel who need it to perform the work.
Confidentiality obligations do not apply to information that is already public, that becomes public through no fault of the Company, that is independently developed, or that must be disclosed by law or court order. Where disclosure is compelled, the Company will, where lawful, give the client prompt notice so that protective measures can be considered.
Termination of Access
The Company may suspend or end your access to the Site at any time if it reasonably believes that you have breached these terms or that your use poses a risk to the Site, to other users or to the Company. Termination of access does not affect any right or obligation that arose before termination.
You may stop using the Site at any time. Sections of these terms that by their nature should survive termination, including intellectual property, disclaimer of warranties, limitation of liability, indemnification and governing law, continue to apply after your access ends.
Privacy and Data Protection
Our handling of personal information is described in the Privacy Policy, which forms part of the framework for your use of the Site. The Privacy Policy explains what we collect, why we collect it, how long we keep it and what rights you may have. We encourage you to read it together with these terms.
Where an engagement requires the processing of client operational data, the specific handling rules, security controls and data rights are set out in the client agreement and in any associated data processing terms. This website terms document does not replace those project-level provisions.
Changes to These Terms
The Company may revise these Terms of Service from time to time to reflect changes in the Site, in the Services or in applicable law. When we make a material change, we will update the version shown on this page and, where appropriate, provide a more prominent notice on the Site.
Your continued use of the Site after a change takes effect indicates acceptance of the revised terms. If you do not agree with a revision, you should discontinue use of the Site and, where relevant, discuss the change with us in the context of any active engagement.
Governing Law and Disputes
These Terms of Service are governed by the laws of the United States and of the state in which Angela VanWagenen LLC is organized, without regard to conflict of law principles. The application of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
The parties agree to attempt in good faith to resolve any dispute arising out of these terms through discussion before beginning formal proceedings. If a dispute cannot be resolved by discussion, it will be brought before a court of competent jurisdiction in the state where the Company is organized, unless applicable law requires otherwise.
If any provision of these terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. A failure by the Company to enforce a provision is not a waiver of the right to enforce it later.
